1. NAME
The name of the organisation shall be the "National Border Collie Council" and shall
herein be referred to as the "NBCC".

DEFINITIONS AND ABBREVIATIONS
AGM is the abbreviation for Annual General Meeting.
ANKC is the abbreviation for the Australian National Kennel Council.
Approved Events means events approved by, and under the rules and regulations of, their State or Controlling Body and the ANKC.
Delegate means a formally endorsed representative of a Member Club, must be financial and where possible be a resident in the State or Territory of the Member Club he/she represents.
Events means shows, parades, trials, breed seminars, conventions, congresses and any other function.
Financial Member means a member who is a financial member of both their Member Club and their State or Territory controlling body.
Majority means not less than 75% of delegates participating and voting. Except in the case of voting on Office Bearers, where a simple majority applies.
NBCC is the abbreviation for National Border Collie Council.
President or Secretary means President or Secretary of the NBCC.
MEETINGS can be: In person, Conferlink or by post.

2. OBJECTIVES

2.1 The objects of the NBCC shall be: -

2.1.1

To encourage and promote the quality of breeding, care, training
and exhibition of the Border Collie.

2.1.2

To educate and encourage exhibitors, Breeders and Judges to
abide by the Border Collie Breed Standard, as approved by the ANKC.

2.1.3

To enable Member Clubs to take co-operative action on matters which such Clubs agree are of common interest and for their mutual benefit in the promotion of the Border Collie.

2.1.4

To allocate the title of "Border Collie National” to Championship Shows, Trials and/or Events for use of Member Clubs, subject always to the approval of the State or Territory Controlling Body and the ANKC.

2.1.5

To seek registration with the ANKC, and if recognised, agree to be bound by the Rules and Regulations, and directions of the ANKC for the time being in force.

2.1.6

To become associated with overseas Border Collie organisations with objects kindred to the objects of the NBCC.

2.1.7

To collect, verify, publish, circulate and otherwise make use of statistical information relating to the Border Collie.

2.1.8

To encourage Member Clubs to hold approved events.

2.1.9

To legislate to make by-laws and do other acts, matters and things as may be necessary to promote all or any of the objects of the NBCC acting at all times at the direction of the Member Clubs.

2.1.10

To promote a national body capable of acting on a national basis on behalf of the Border Collie.

2.1.11

To encourage and support research into hereditary diseases affecting Border Collies.

3. POWERS

3.1 The NBCC shall have power to:-

3.1.1

Acquire a membership fee from Member Clubs to carry out the objects of the NBCC.

3.1.2

Invest its funds not immediately required, in such manner as the delegates shall determine.

3.1.3

Correspond with and become associated with overseas Border Collie organisations, for the purpose of the exchange of viewpoints on matters affecting the welfare of the Border Collie.

3.1.4

Allocate the title of "Border Collie National Championship Show and Trial", to the various Member Clubs, subject always to the approval of both the State or Territory Controlling Body and the ANKC. See By-Law No. 1

3.1.5

Purchase, hire, lease or otherwise provide and maintain all types of personal property for the carrying out of the objects of the NBCC.

3.1.6

Do all such other things that may appear to it to be necessary for the purpose of carrying into effect its objects.

3.2 The NBCC shall not hold shows or other types of exhibitions. Such shows and exhibitions shall only be conducted by the Member Clubs.

3.3 Nothing in this Constitution shall affect the right or authority of an individual Member Club to control and conduct their Club business in the way usually followed by a Specialist Club. Nor shall the NBCC affect in any way the normal relationship between a Member Club and their State or Territory Controlling Body.

4. MEMBERSHIP

4.1 Any specialist Border Collie Club affiliated with a State or Territory Controlling Body, which is in turn a member of the ANKC, upon payment of the prescribed annual membership fee shall be eligible for membership of the NBCC except in the case of re-admission which must be in compliance with Clauses 12.2 and 12.3.

4.2 The following specialist Border Collies Clubs and such other specialist Border Collie Clubs as may from time to time be admitted shall be Member Clubs, entitled to nominate a delegate to the NBCC. -
Border Collie Club of Queensland Inc.
Border Collie Club of Victoria Inc
Border Collie Club Tasmania
New South Wales Southern District Country Border Collie Club Inc.
The Border Collie Club of New South Wales Inc.

4.3 The membership fee shall be such amount as the NBCC shall from time to time determine. See By-Law No. 3.

5. MEETINGS

5.1 Each of the Member Clubs named in Clause 4.2 shall annually appoint a maximum of three (3) delegates to the NBCC. If for any reason it should become necessary, Member Clubs may appoint a substitute delegate who shall ipso facto be deemed to be a delegate for voting and all other purposes at a meeting of the NBCC.

5.2 At meetings of the NBCC each Member Club shall have one (1) vote.

5.3 The quorum for meetings shall be more in number than 50% of the number of Member Clubs.

5.4 Notice of Meetings:-

5.4.1

Member Clubs may bring any business before a meeting of the NBBC by giving ninety (90) days notice of its intention to the Secretary.

5.4.2

The Secretary shall communicate the agenda for a meeting to each of the Member Clubs at least sixty (60) days prior to the date of the meeting.

5.4.3

The accidental omission to give notice to a Member Club or if a Member Club shall fail to receive a notice sent as aforesaid shall not invalidate a General Meeting.

5.4.4

All official correspondence shall be sent by certified mail and be deemed to have been served on the next business day following that on which it is posted.

5.5 Except with the unanimous consent of all Member Clubs, no resolution carried at a meeting of the NBCC shall be valid unless notice has been given in accordance with Clause 5.4.4.

5.6 Notwithstanding the Provisions Of Clause 5.4.1, the Secretary shall at the discretion of the President, or at the written request of a Member Club, submit any particular matter of urgency to the Member Clubs by post, fax or e-mail and the vote on any such matter shall be taken accordingly, at meetings of the Member Clubs.
Failure to respond within the time specified shall be taken as a vote in favour of the proposal.

5.7 The NBCC shall manage its own affairs and hold meetings at such time and place as the delegates decide.

5.8 Where possible, an AGM shall be held at the time and place of a Border Collie National Event, or alternately at a time and place to be decided by the Delegates.

5.9 The President of the NBCC shall be Chairperson of all meetings of the NBCC. Should the President not be present within 15 minutes of the time appointed for the holding of the meeting, the delegates shall elect a Chairperson from among their number. The delegate appointed Chairperson may vote on any matter, but shall not have a casting vote.

5.10 Should the Secretary not be present within 15 minutes of the time appointed for the holding of the meeting, the delegates shall elect a Minute Secretary for that meeting from among their Members

5.11.1

Every motion submitted to the meeting shall be decided by a show of hands. Provided that each Member Club with a delegate present shall have the right to record one vote. In the event of not achieving a majority, the motion shall be deemed to be lost.

5.11.2

Member Clubs not represented at a meeting may cast their vote(s) in writing. Such votes must be on the Member Club's official letterhead and signed by the Secretary of the Member Club. Written votes must be in the hands of the Secretary of the NBCC prior to the commencement of the meeting. They shall not be opened until the counting of the votes on the given subject.

5.12 In all matters not covered by this Constitution, the Rules of common debate shall apply provided always that the best interests of the Member Clubs be served, and Member Clubs have the right to vote in favour or against any decision.

5.13 Dissension from the Presidents and/or Chairperson's Procedure, Ruling, Actions etc.

5.13.1

In the event that a dissension vote is moved and seconded, the Chairperson shall immediately vacate the chair to enable correct and proper discussion and voting procedures to follow. Delegates present are then entitled to elect their own choice of interim Chairperson to preside during the time that this matter only is discussed and determined whereupon the Chairperson shall resume the Chair.

5.13.2

In the event that a dissension vote is carried by a majority at any meeting of the NBCC, the Chairperson shall be bound to adopt such ruling, procedure or action as decided by the said vote.

5.14 Censure of President's and/or Chairperson's, Secretary's or a General Member's Ruling, Procedure, Actions, Conduct, etc.

5.14.1

In the event that a censure motion be moved, seconded and carried by a majority at any Meeting of the NBCC, the person or persons against whom the vote be taken shall be considered censured and all relevant details shall be minuted.

5.14.2

Censure motion will not automatically mean a loss of position from Council or a loss to a member of his or her usual and accepted rights.

5.15 Vote of No Confidence against the President, Secretary.

5.15.1

In the event that a "vote of no confidence" be moved, seconded and carried by a majority at a meeting of the NBCC specially convened to discuss the motion, such person or persons against whom the motion was carried shall immediately forfeit his/her/their position(s) as Office Bearer(s) and any such person(s) shall not be allowed to accept nomination for Office Bearer, or for any sub-committee for a period of twelve months from the date of such motion.

5.15.2

The delegates involved upon such "vote of no confidence" being carried are then entitled if they so desire, to select a replacement(s) for the position(s) hereby rendered vacant.

5.15.3

Notices of Motion of "No Confidence" must be made in writing signed by the persons moving and seconding the motion and forwarded to the Secretary.

5.15.4

The Secretary shall convene a Special Meeting to be held within sixty (60) days from the date of receipt of the Notice of Motion, and advise all Member Clubs in writing within fourteen (14) days allowing Member Clubs at least twenty-eight (28) clear days notice of the Meeting. Proof of posting of the notice to the Member Clubs last registered address with the Council shall be deemed sufficient proof of the member being notified.

6. PRESIDENT

6.1 The President must be a member of one of the Member Clubs and of the respective State or Territory Controlling Body, but shall not be a club delegate.

6.2 The President shall be formally appointed for a term of two (2) years by the NBCC delegates at an AGM from the nominations received from Member Clubs, By-Law No. 2.

6.3 The President shall hold Office until the day following that of the AGM at the end of the term.

6.4 The President shall not be entitled to vote at a meeting of the NBCC. Except in the circumstances of a tied vote of an Office bearer then the President has a casting vote.

6.5 For the election of the President, the Delegates shall have one vote per Member Club.

6.6 If there be not a nomination for the office of President, or if a member nominated for such office declares at the AGM verbally or in writing that he/she is unwilling to stand for that Office, the delegates may propose and second orally at the AGM sufficient members to fill such office.

6.7 A casual vacancy occurring caused by the death or resignation of the President, or by the President ceasing for any reason to be a member, may be filled by the delegates at the next Meeting and the member so appointed shall hold office until his/her appointment is either confirmed by the delegates at the next General Meeting or the vacancy is otherwise filled by the delegates at the next General Meeting.

7. SECRETARY

7.1 The Secretary must be a member of one of the Member Cubs and of the respective State or Territory Controlling Body, but shall not be a club delegate.

7.2

The Secretary shall be appointed by the NBCC delegates at the AGM for a term of two (2) Years from nominations received from the Member Clubs.

7.3

The nominations shall be in the hands of the Secretary at least ninety (90) days before the said meeting and all Member Clubs shall be advised of the nominations sixty (60) days before the meeting.

7.4

The Secretary shall hold office until the day following that of the AGM at the end of the term.

7.5

The Secretary shall not be entitled to vote at any meeting of the NBCC.

7.6

For the election of the Secretary, the Delegates shall have one vote per Member Club.

7.7

If there be not a nomination for the office of Secretary, or if a member nominated for such office declares at the AGM verbally or in writing that he/she is unwilling to stand for that Office, the delegates may propose and second orally at the AGM sufficient members to fill such Office.

7.8

A casual vacancy occurring caused by the death or resignation of the Secretary of the NBCC, or by a member ceasing for any reason to be a member, may be filled by the delegates at the next Meeting, and the person so appointed shall hold office until his/her appointment is confirmed by the delegates at the next General Meeting or the vacancy is otherwise filled by the delegates at the next General Meeting.

7.9

Duties of the Secretary:-

7.9.1

The Secretary shall act under the direction of the NBCC.

7.9.2

The Secretary shall attend all meetings of the NBCC and any other meeting where his/her presence may be required to keep proper minutes of such meetings, and generally to perform all such duties as are usually performed by any such officer in a like position & in accordance with the ANKC regulations.

7.9.3

The Secretary shall be responsible for all monies received on behalf of the NBCC and shall pay all such sums into the bank account of the NBCC within fourteen (14) days of receipt.

7.9.4

The Secretary shall keep proper books of account of the NBCC.

8. HEADQUARTERS
8.1

The headquarters of the NBCC shall be the residential address of the Secretary where the books, records and property, of the NBCC shall be kept.
9. FINANCE
9.1
A bank account in the name of the "National Border Collie Council" shall be opened with a recognised, nationally accessible Australian bank.
9.2
All monies payable on behalf of the NBCC shall be paid by cheque drawn upon the bank account of the NBCC.
9.3
All cheques shall be signed by the Secretary and countersigned by the President or NBCC delegate appointed for that purpose.
9.4
The financial year of the NBCC shall be from 1st January to 31st December each year.
9.5
The NBCC shall appoint an auditor with accountancy qualifications. Such auditor shall hold office until the first meeting in the following financial year, but shall be eligible for re-appointment.
9.6
An audited statement of receipts and expenditure and balance sheet shall be forwarded to each Member Club, before the 1st March in that year.
10. BY LAWS
10.1
Subject always to the constitution, delegates at a meeting by a resolution passed by a majority of delegates participating and voting on this resolution, may make By-Laws and may, from time to time amend such By-Laws by variation, deletion or addition as they may think fit in respect of :–
10.1.1
The granting of the title "Border Collie National Championship Show" & "Trial".
10.1.2
The appointment of the President.
10.1.3
The appointment of the Secretary.
10.1.4
The appointment of other officers.
10.1.5
Membership fees.
10.1.6
Any matter the delegates consider necessary to carry out the objects of the NBCC.
11. ALTERATION TO CONSTITUTION AND BY LAWS
11.1
This Constitution and the By-Laws of the NBCC shall not be altered, waived or amended, except at a meeting of the delegates called in compliance with Clause 5.4.1.
11.2
The amendment must be agreed to by a majority.
12. RESIGNATION
12.1
Any Member Club may at any time resign its membership by giving notice to the Secretary. Such resignation shall not free the Club from liability to pay any subscription that is due and unpaid on the date of the resignation.
12.2
Should any Member Club that has resigned seek re-admission as a member of the NBCC, such re-admission is to be voted on at a meeting of the NBCC called in compliance with Clause 5.4.1.
12.3
A majority will be required to re-admit a Member Club.
13. PROPERTY/WINDING UP
No club or individual shall have any proprietary right or interest in any of the funds or property of the NBCC. Such property or funds shall be devoted to the promotion of the objects of the NBCC.

In the event of the winding up of the NBCC the property or funds shall be divided equally among the clubs which are members at the time of such winding up.

14. OTHER OFFICERS
14.1
The NBCC may appoint any other officer(s) as it deems necessary to carry out its business.
15. SUB COMMITTEES
15.1
The NBC may establish sub-committees for such purposes and in such manner as it thinks fit.
15.2
The NBC shall simultaneously provide guidelines that will define and limit the authority and scope of each sub-committee.
15.3
Each sub-committee shall be presided over by a delegate of the NBCC or a person appointed by the NBCC, both of whom shall be removable by the NBCC.
15.4
Minutes shall be kept of all sub-committee meetings.
15.5
Sub-committees shall report their findings and recommendations, and table a copy of their minutes to the NBCC at the first opportunity after their meeting.
BY- LAWS

BY- LAW No. 1
National Championship Show & Trial
The delegates at any meeting, and in accordance with Clause 3.1.4 of the Constitution, may grant the title "Border Collie National Championship Show & Trial", to any Member Club.
The granting of the use of the word "National" must be in compliance with the Rules and Regulations of the ANKC and/or the National Breed Clubs Liaison Council.

BY- LAW No. 2
Executive
The President shall be appointed in accordance with Clause 6 of the Constitution and shall hold office for one term, initially of one year, and thereafter of two years and shall be eligible for re-election.
The Secretary shall be appointed in accordance with Clause 7 of the Constitution and shall hold office for a term of two years and shall be eligible for re-election.

BY- LAW No. 3
Membership
The membership fee shall be reviewed annually by the NBCC. The fee shall be due and payable by 1st January in each year.
BY- LAW No. 4
Minutes
Following a meeting of the NBCC, the Secretary is to forward a draft of the Minutes to the delegates, within two weeks of the meeting.

Member Clubs’ delegates are to ratify the draft Minutes and return the draft to the Secretary within two (2) weeks of receipt

BY- LAW No. 5
Eligibility Requirements for Judging a “Border Collie National Championship Show”
The Judge will certify/sign that they have read the ANKC Border Collie Breed Standard & Breed Extension.
The Judge must have been actively involved in the breed or as defined by theNBCC from time to time. The Judge will preferably be a Breed Specialist, but must be a Working/Herding Group Specialist.
The Judge must provide a written critique, within 30 days of the show.
An embargo of 18 months prior to the date of the show will apply on the Judge.

BY- LAW No. 6
Frequency of National Championship Shows & Trials
The host of the inaugural National Championship Show & Trial will be drawn by lot and thereafter held on a rotation basis. A Member Club may pass over its turn. National Championship Shows & Trials will occur no more frequently than once every two calendar years.
